Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Lumitela, the web application and browser extension available at lumitela.com (the "Service").

By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Lumitela provides sales tracking, order matching, and design catalog insights for surface pattern designers who sell through third party marketplaces such as Spoonflower and Etsy. The Service works with information you supply to it, including sales notification emails you choose to forward to your Lumitela inbox address and catalog data imported from your own shop pages, including via the Lumitela browser extension.

The Service presents summaries, matches, and estimates derived from that information. These are provided for your convenience and general information only. They are not accounting, tax, or financial advice, and they do not replace the records held by the marketplaces or by your payment providers. You are responsible for verifying any figure before relying on it.

2. Your account

You must provide a valid email address and keep your login credentials confidential. You are responsible for all activity that occurs under your account. Accounts are for a single person or business; an account may not be shared or resold.

3. Free trial

New accounts receive a free trial of 14 days from the day the account is verified. No payment method is required to start a trial. When the trial ends, the account enters a read-only state as described in section 6 unless a subscription has been purchased.

4. Subscriptions and billing

The Service is offered as a paid subscription, billed monthly or yearly. Current pricing is shown at lumitela.com and on the upgrade page inside the Service.

Payments are processed by our merchant of record, Paddle.com Market Ltd and its group companies ("Paddle"). When you purchase a subscription, your contract of sale is with Paddle, and Paddle's checkout terms apply to the transaction in addition to these Terms. Paddle handles payment collection, applicable taxes such as GST and VAT, invoices, and refunds. Lumitela does not receive or store your card details.

Subscriptions renew automatically at the end of each billing period until canceled. You can cancel at any time from the Billing section of your profile. Cancellation takes effect at the end of the current billing period, and you keep full access until then. You can also switch between monthly and yearly billing from the same place; any difference in price is calculated by Paddle at the time of the change and shown to you before you confirm.

If a renewal payment fails, Paddle retries the payment over a number of days. Your access continues during this retry period. If payment cannot be collected, the subscription is canceled and the account enters the read-only state described in section 6.

5. Refunds

Our refund policy is set out in the Refund Policy and forms part of these Terms. In short: the free trial exists so you can evaluate the Service before paying, partial billing periods are not refunded, and the first charge of a yearly subscription may be refunded within 14 days of purchase. Nothing in these Terms or in the refund policy limits any right to a remedy you have under applicable consumer law, including the Australian Consumer Law.

6. Lapsed accounts

If your trial ends without a subscription, or your subscription ends and is not renewed, your account is frozen in place. You can still sign in and view your data exactly as it stood, but the Service stops importing new data and editing is disabled. Emails forwarded to your Lumitela inbox address while the account is frozen are captured and will be processed if you subscribe within 30 days.

You can reactivate a frozen account by purchasing a subscription. If a frozen account is not reactivated within 30 days, the account and all of its data are permanently deleted, the same as if you had requested deletion yourself.

7. Your data

You retain all rights in the data you bring to the Service, including forwarded emails, imported catalog information, design names, and design thumbnails. You grant us the license needed to store and process that data for the sole purpose of operating the Service for you.

Our handling of personal information is described in the Privacy Policy. You may request deletion of your account and its data at any time; deletion is permanent.

You warrant that you are entitled to submit the data you provide to the Service, including that the shop and email accounts you connect are your own or that you are authorized to act for them.

8. Acceptable use

You must not: attempt to access another user's data; probe, disrupt, or overload the Service; use the Service to store or transmit unlawful material; resell or provide the Service to third parties; or use automated means to access the Service other than the interfaces we provide. We may suspend accounts that breach this section.

9. Third party platforms

Lumitela is an independent tool. It is not affiliated with, endorsed by, or sponsored by Spoonflower, Etsy, or any other marketplace. Their names and trademarks belong to their respective owners. Your use of those platforms remains subject to their own terms, and you are responsible for ensuring that your use of Lumitela alongside them complies with those terms. Changes made by a marketplace to its emails, pages, or policies may affect what the Service can import, and we do not warrant uninterrupted compatibility.

10. Availability and changes

We aim to keep the Service available and reliable, but it is provided on an "as is" and "as available" basis. We may modify features of the Service over time, and we may discontinue the Service entirely. If we discontinue the Service, we will give reasonable notice to active subscribers and refunds will be handled in accordance with the refund policy.

11. Termination

You may close your account at any time. We may suspend or terminate an account for material breach of these Terms, and where practical we will notify you first. On termination, your data is handled as described in section 7 and the Privacy Policy.

12. Liability

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or any other applicable law that cannot lawfully be excluded.

Subject to that paragraph: the Service is provided without warranties of any kind beyond those set out in these Terms; we are not liable for loss of profits, loss of revenue, or indirect or consequential loss; and our total aggregate liability arising out of or in connection with the Service is limited to the amounts you paid for the Service in the 12 months before the event giving rise to the claim, or, where liability cannot be so limited but may be limited to resupply, to resupplying the Service.

You are responsible for maintaining your own records with the marketplaces and payment providers you use. The Service is a convenience layer over those records, not a system of record.

13. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify account holders by email or by a notice inside the Service at least 14 days before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of Australia. Courts with jurisdiction in Australia have non-exclusive jurisdiction over disputes arising under them. This section does not displace any mandatory consumer protection law of the place where you live.
